Project Terms and Conditions

These terms apply to project-based services within SiteAdmin, such as new website production, custom development, and the creation of new features or modules.

1. Introduction

These project terms regulate the ordering and delivery of project-based services within SiteAdmin. The terms apply when SiteAdmin is used to build a new website, further develop an existing solution, or create new features, modules, or other custom development. The service is provided by Zenivo AB (559259-1266).

2. Project Scope

The project scope is outlined in the quote, booking, order confirmation, or other documented agreement between the parties. The project may include, for example:

  • production of a new website
  • redesign of an existing website
  • design adjustments and frontend work
  • development of new features or modules within SiteAdmin
  • integrations, customizations, or other additions

3. Materials and Customer Participation

The customer is responsible for providing necessary materials and feedback within a reasonable time during the project. This may include texts, images, logos, business information, approvals, and other materials required to complete the project. If materials or feedback are not provided, SiteAdmin reserves the right to pause the project, adjust the timeline, or complete the project with available materials, standard content, or provisional solutions to enable delivery.

4. Delivery and Approval

Delivery is considered complete when the project is finalized according to the agreed scope and made available to the customer for review, testing, or publication. Delivery is not affected by the customer's choice to delay publication, fail to provide feedback on time, or not participate in scheduled reviews. The customer is responsible for being available for decisions, approvals, and necessary communication throughout the project.

5. Pricing and Payment

The project price is outlined in the quote, booking, or other agreement. If no other terms have been agreed upon, the following payment model applies:

  • 30% deposit before project start
  • 70% final invoice upon delivery
  • 14-day payment terms

The project typically begins only after the deposit has been paid. If the customer chooses to cancel the project after an approved order or signing, SiteAdmin reserves the right to retain the deposit and, if necessary, charge additional compensation proportional to the work already completed.

6. Delivery Time

The estimated delivery time is communicated at project start or in the quote. The stated times are preliminary and assume that the customer provides materials, feedback, and approvals according to the plan. Delays caused by the customer may affect delivery without liability for SiteAdmin.

7. Changes and Additions

Minor adjustments after the initial delivery may be included if they fall within the project's original scope. Major changes, new requests, or additions outside the agreed scope will be billed separately according to the current hourly rate, fixed price, or new quote.

8. Relationship to Subscription

These terms regulate projects, development, and delivery. Operations, hosting, support, platform usage, and ongoing subscriptions are governed by SiteAdmin's general terms for subscriptions. If the project results in a website or feature being deployed within SiteAdmin, the subscription terms apply in parallel from the time the service is activated.

9. Copyright and Usage Rights

SiteAdmin is a cloud-based service. The platform, administration, modules, features, templates, technical structure, and other general functionality belong to Zenivo AB or other parties with rights to the material and are not transferred to the customer.

The customer owns their own content, such as texts, images, logos, and other materials provided by or authorized for use by the customer.

The customer is granted a usage right to use SiteAdmin and its included features as long as the subscription is active and all payment obligations are fulfilled. Ownership of modules, technical solutions, and features developed within SiteAdmin remains with Zenivo AB. Only Zenivo AB has the right to reuse, further develop, license, or offer such modules, solutions, and features to other customers. Upon termination of the service, the customer may request an export of their content and a simplified HTML export of the website's frontend. Administration, modules, and other platform components are not included in such exports.

10. Late Payment

If an invoice is not paid within the specified time, SiteAdmin reserves the right to pause the project, withhold delivery, delay publication, or suspend further work until payment is received. In cases of continued non-payment, the matter may be referred to debt collection or other legal proceedings according to applicable regulations.

11. Limitation of Liability

SiteAdmin is not liable for delays, errors, or deficiencies caused by materials, instructions, or decisions from the customer, or by circumstances beyond our reasonable control. The customer is responsible for ensuring that provided materials can be used and do not infringe on third-party rights.

12. Applicable Law and Disputes

Swedish law applies to these terms. Disputes should first be resolved through dialogue between the parties. If a resolution cannot be reached, the dispute will be settled by a Swedish general court with Falu District Court as the court of first instance, unless mandatory law prescribes otherwise.

13. Acceptance

These terms are considered accepted when the customer orders the project, accepts the quote or booking, confirms the order via email, or signs the agreement digitally, for example via Visma Sign. Acceptance may also occur through other documented communication where the order is confirmed and these terms are referenced.
